Sam focuses his practice on equity capital markets, public companies and corporate governance. He advises corporates, investment banks, brokers and major shareholders on a broad spectrum of capital markets matters including primary and secondary securities offerings listed on both UK and international stock exchanges. His experience covers a wide range of sectors, including life sciences, technology, and biotech. He also has significant cross-border transactional experience, including transatlantic, pan-European and across the MENA region. Sam also advises private companies, founders, and venture capital firms on private fundraises from seed capital through to series fundraising. Sam works with start-ups and founders on all aspects of corporate growth strategy, scale-up and university spin-outs.

I help my clients in all aspects of their life (or soon-to-be life) on the public markets, whether that be advising on their IPO, raising further capital or on the day-to-day issues that arise by virtue of being a listed company. I equally enjoy working with brokers, banks and other advisors to help both private and public companies achieve their strategic goals. I also work with start-ups, founders and venture capital firms on raising capital and providing strategic growth advice.

  1. Acting for Inspired plc on its £183.6m recommended takeover by US private equity firm, HGGC, LLC.
  2. Acting for Inspired plc on its £26.66m fundraising by way of: (i) a placing of new ordinary shares; (ii) an issue of convertible loan notes; and (iii) a retail offer of new ordinary shares.
  3. Acting for Scancell Holdings plc on multiple equity raises including a placing, subscription and open offer.
  4. Acting for Redx Pharma plc on multiple equity raises including a placing and subscription.
  5. Acting for AdvancedAdvT Limited on its admission to trading on AIM.
  6. Acting for Renalytix plc on its IPO on AIM, subsequent dual-listing on the Nasdaq in the US and multiple secondary fundraises.
  7. Acting for multiple UK-incorporated biotechs on their US IPOs, secondary fundraisings, UK statutory obligations and other general corporate governance matters.
