Advising shareholders on sale of Rhino, Vantage, Quest and ICPA to Odealim

We have advised the shareholders of a group of complementary businesses including Rhino, Vantage, Quest, and ICPA on the sale of the entire issued share capital of each business to Venus Newco Limited, a newly incorporated company backed by Odealim. 

The acquisition brings together a portfolio of UK insurance and professional services businesses, including Rhino Trade Insurance, Rhino Home Protect, Rhino Protect, Vantage, Quest and ICPA, with Odealim, a leading European specialist in insurance brokerage and real estate financing. It represents Odealim’s first investment in the UK market and supports its continued international growth strategy.

As part of the transaction, certain shareholders reinvested part of their sale proceeds into Venus Newco Limited, with Gateley Legal advising the selling shareholders throughout.

Led by partner and head of the corporate platform Charles Glaskie, the Gateley Legal team included legal director Laurel Knight, corporate solicitor Oliver Kneale, partner and head of tax Bernhard Gilbey, tax associate Rachel Palmer and employment senior associate Navjhot Atwal.
