We have advised UK-wide independent port handling specialist JST Ports & Logistics Group (JST) on its acquisition of rail-handling and logistics company RFS Works Ltd (RFS).
The deal represents the strategic acquisition of RFS from Aggregate Industries UK and GRS Group, which will both continue to work closely with RFS.
JST is a port handling group specialising in bulk and general cargo, while RSF provides material handling services, earthworks and heavy mobile equipment services. As one company, they have the capability to serve existing and new customers with an integrated port and rail logistics network across the UK and Ireland represented by over 200 employees and a combined revenue in excess of £40m.
JST is owned by alternative investment company, Shard Credit Partners, and current CEO, Richard Jennings.
Gateley Legal’s team was led by corporate partner Oliver Harker supported by corporate associate George de Stacpoole, banking partner Andrew Madden, banking senior associate Rebecca Mills, banking associate Shiv Nand, tax associate Tammi Broad and tax solicitor Rachel Palmer.
Oliver Harker commented: “We are thrilled to have advised JST on its successful acquisition of RFS. Both companies are well-established leaders in the industry, having developed unique yet complementary positions over the last 30 years. Their combined expertise offers a multimodal logistics solution for the UK and Ireland. Congratulations to all involved in this transaction, and we look forward to seeing the group flourish as it embarks on this new journey.”
