More about our services

Mergers & acquisitions

We are consistently recognised as one of the most active corporate legal advisers in the UK according to research by Experian MarketIQ. This recognition reflects our strength of team in that we continue to win work at the highest level in a transactional and highly-competitive marketplace.

Clients come back to us, and other advisers continue to recommend us because we have the requisite technical knowledge, capacity and know-how to proactively drive the transaction process and to facilitate deal completions that consistently meet or exceed our clients’ expectations. Transaction support and due diligence

Due diligence speed is a major contributor to deal success. We have the expertise to recognise issues quickly and suggest practical, proportionate and commercial solutions. We regularly advise a broad range of private equity institutions, as well as management teams, on their investments and buy and build strategies, through to exit as well as a number of debt funders who finance those transactions. Equity capital markets

We have substantial experience of advising on capital markets work and are recognised as a market leader. Clients include companies from the UK, mainland Europe, North America and Asia across a variety of industry sectors. As the first UK law firm to be admitted to trading on the AIM market, we are uniquely placed to understand the process from both the client-side as well as that of legal advisers. We experienced first-hand many of the typical issues that arise during an IPO process, and we pass this invaluable hands-on expertise and experience on to our clients. We act for, and have good working relationships with, many of the leading nominated advisors and brokers advising in the AIM and Main Market of the LSE. Private equity

We regularly advise a broad range of private equity institutions, as well as management teams, on their investments and buy and build strategies, through to exit, whether effected via trade sale, secondary buy-out or IPO. With a strong focus on the regional mid-market private equity space and our network of offices across the UK, we have the experience and resources to offer national reach and local delivery on regional deals and markets. Fund structuring and constitution is a core part of our full-service offering, and we’re one of very few firms outside of London to provide this specialist expertise. The creation and constitution of funds – in terms of the corporate and equity structuring of any transaction, as well as how it dovetails with banking, tax and employment law – is handled seamlessly alongside the investment work and our more mainstream areas of private equity practice.
