We have advised the shareholders on the sale of Rock Compliance to the andwis Group, a technical services platform backed by H.I.G. Capital.

Headquartered in Warwickshire, Rock Compliance provides comprehensive water and air compliance services across the UK. The andwis Group is a network of leading technical building services businesses, formed in 2022 and on a strong acquisition trail, completing ten acquisitions in 2024 alone.

Rock Compliance’s acquisition by the andwis Group allows it to make a greater investment in compliance innovation, develop its services further and grow the company in terms of headcount and office locations. For andwis, the acquisition adds national water treatment and hygiene solutions to its offering, marking a strategic step towards its commitment to offer a full suite of technical building and compliance services.

Our team was led by partner and London head of corporate Zum Mohammed, supported by corporate senior associate Rachel Weaver, corporate solicitor Olivia Isbister, trainee solicitor Isabelle Clamp, tax partner Richard Clitherow and tax senior associate Anamika Pandey.

It has been a pleasure collaborating with the talented team at Rock Compliance, and we believe the andwis Group is the perfect partner to drive the business forward. We are grateful for the exceptional legal support provided by Zum and the team at Gateley Legal. Their strong credentials supporting compliance businesses and strategic guidance ensured a smooth transaction with a great outcome for all.
Joshua Segal, Founder, Mornington Partners

Zum Mohammed added: “We are delighted to have advised the shareholders on the sale of Rock Compliance to the andwis Group. We look forward to watching the continued growth of the business.”
