We have worked with Adam Binns on the acquisition of a majority shareholding in the company which was established by his grandfather 86 years ago in 1937, Binns Fencing Ltd.
This transaction follows a successful period where the company was part of the Zaun Group. Both parties are viewing the change as a positive move, which will allow each entity to focus on individual growth and development in the future.
Both businesses had benefitted and flourished since Zaun acquired the majority stake in Binns in 2015. Despite this, there has been certain trepidation from the market about the link and a possible conflict. This new structure will remove these questions and allow each business to develop their own relationships with customers and suppliers.
Tom Rush, partner and head of corporate at the Birmingham office, led on the deal. He said: “It has been a great pleasure working with Adam Binns and his team on this successful transaction that has brought about Binns Fencing returning to the control of the Binns family.”
Adam Binns said: “The team at Gateley has provided fantastic support and guidance throughout. Even simple transactions can be full of hurdles and trip hazards regarding legal or tax implications and their advice has ensured all of these were considered and overcome. We are very grateful for their support and look forward to working with them again in the future.”
Tom was supported on the transaction by Sharon Malhi, senior associate with the banking team, corporate solicitor Parmjit Singh and Zara Hussain, solicitor with the property team.
