We have advised Indian-headquartered KPIT Technologies Limited (KPIT), a global leader in mobility technology solutions, on the US$157m acquisition of the Engineering Solutions business of Caresoft Global (Caresoft), a leader in automotive benchmarking and cost-reduction engineering solutions, headquartered in Illinois, USA.

KPIT specialises in software-defined vehicles (SDVs), embedded systems and system integration. KPIT partners with global automotive OEMs and Tier 1 suppliers to accelerate the transformation of the mobility industry, with a strong focus on electrification, autonomous driving, connected vehicles and cost-efficient engineering.

As part of the transaction, Caresoft is restructuring into two distinct business units: Benchmarking and Engineering Solutions. KPIT has acquired the Engineering Solutions business globally, which focuses on off-highway, truck and bus segments, and manufacturing support. KPIT will continue to partner with Caresoft in its Benchmarking business.

This acquisition strengthens KPIT’s strategic focus on the commercial vehicle segment, enabling it to leverage Caresoft’s expertise in downstream engineering and benchmarking services, established OEM relationships and presence in China: a key growth market for KPIT.

This is a truly multi-jurisdictional transaction, with Gateley Legal acting as the lead legal adviser, alongside several independent relationship firms in other jurisdictions to address local requirements across the UK, US, Mexico, Italy and Brazil.
